Terms and Conditions

Welcome to Aria. These Terms and Conditions (“Terms”) govern your access to and use of the Aria web application, website, and related services (collectively, the “Service”), operated by Aria Finance (“Aria,” “we,” “us,” or “our”). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of the Service

Aria is a software platform that uses artificial intelligence to provide general financial information, educational content, and planning tools. The Service may include features such as financial profile questionnaires, estate planning informational modules, income and cash flow tools, document analysis, and AI-generated summaries or explanations.

Aria is an informational tool only. Aria is not a bank, broker-dealer, registered investment adviser, insurance provider, law firm, or tax preparation service, and nothing in the Service constitutes an offer or solicitation to buy or sell any security or financial product.

3. No Financial, Legal, or Tax Advice

This section is important. Please read it carefully.

All content, outputs, calculations, projections, and recommendations generated by the Service, including responses produced by artificial intelligence, are provided for general informational and educational purposes only. They do not constitute financial advice, investment advice, legal advice, tax advice, insurance advice, or any other form of professional advice, and they are not tailored to your individual circumstances in the manner required of a licensed professional.

You should not act or refrain from acting on the basis of any information provided by the Service without first consulting a licensed financial adviser, attorney, certified public accountant, or other qualified professional who can evaluate your specific situation. No fiduciary, advisory, or client relationship is created between you and Aria through your use of the Service.

4. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract to use the Service. The Service is intended for users located in the United States. By using the Service, you represent and warrant that you meet these requirements.

5. Accounts and Registration

To use certain features, you must create an account. You agree to: (a) provide accurate, current, and complete information during registration and onboarding; (b) keep your credentials confidential and not share your account with others; (c) promptly notify us of any unauthorized use of your account; and (d) accept responsibility for all activity that occurs under your account. We are not liable for losses arising from unauthorized use of your account where you failed to safeguard your credentials.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • Attempt to gain unauthorized access to the Service, other users' accounts, or our systems;
  • Scrape, crawl, harvest, or use automated means to extract data from the Service without our written permission;
  • Reverse engineer, decompile, or attempt to derive the source code of the Service;
  • Upload malicious code, interfere with the Service's operation, or circumvent security measures;
  • Use the Service to generate content for fraudulent, deceptive, or harmful purposes;
  • Misrepresent AI-generated outputs from the Service as advice from a licensed professional;
  • Resell, sublicense, or commercially exploit the Service without our written permission.

We may investigate violations and cooperate with law enforcement where appropriate.

7. User Content and Document Uploads

The Service allows you to submit information and upload documents, such as financial statements, estate planning documents, and other personal records (“User Content”). You retain ownership of your User Content.

By submitting User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display your User Content solely as necessary to operate, provide, and improve the Service. You acknowledge and consent that your User Content, including uploaded documents, may be processed by artificial intelligence systems, including third-party AI service providers, in order to provide the Service's features.

You represent that you have the right to submit any User Content you provide and that it does not infringe the rights of any third party. Do not upload content you are not authorized to share.

8. AI-Generated Content and Limitations

The Service uses large language models and other AI technologies. You acknowledge that:

  • AI outputs may be inaccurate, incomplete, outdated, or misleading, and may occasionally produce plausible-sounding but incorrect information;
  • Calculations, projections, and summaries should be independently verified before you rely on them;
  • AI outputs do not reflect real-time market data unless expressly stated;
  • The Service’s outputs depend on the accuracy and completeness of the information you provide;
  • You are solely responsible for evaluating the accuracy and suitability of any output before relying on it.

9. Privacy and Data

Our collection, use, and protection of your personal information, including your financial profile, chat history, and uploaded documents, is described in our Privacy Policy. By using the Service, you consent to the practices described there.

10. Third-Party Services

The Service may integrate with or rely on third-party services, including AI model providers, authentication providers, and data infrastructure. We are not responsible for the availability, accuracy, or practices of third-party services, and your use of them may be subject to their own terms and policies.

11. Intellectual Property

The Service, including its software, design, text, graphics, logos, and all other content excluding your User Content, is owned by Aria Finance or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms. No other rights are granted.

Feedback you provide about the Service may be used by us without restriction or compensation.

12. Fees

Certain features of the Service may require payment of fees. Fees, billing cycles, and refund terms will be disclosed at the point of purchase. We may change fees with reasonable advance notice.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, pose a risk to the Service or other users, or as required by law. Upon termination, your license to use the Service ends. Sections that by their nature should survive termination (including Sections 3, 7, 11, 14, 15, and 16) will survive.

14. Disclaimers of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY OUTPUT OF THE SERVICE IS ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ARIA FINANCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

YOU ACKNOWLEDGE THAT FINANCIAL DECISIONS YOU MAKE, INCLUDING ANY DECISIONS INFORMED BY OUTPUTS OF THE SERVICE, ARE MADE AT YOUR OWN RISK.

16. Indemnification

You agree to indemnify, defend, and hold harmless Aria Finance and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your violation of these Terms; (b) your User Content; or (c) your violation of any law or the rights of a third party.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Charlottesville, Virginia, and you consent to the personal jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

19. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
